Terms of service
Effective 1 October 2026.
These terms are an agreement between you, or the organisation you represent (“Customer”, “you”), and Altix Code Ltd, a company incorporated in and governed by the law of the Republic of Cyprus (“Altix”, “we”), governing your use of SyncLocale (the “Service”). By creating an account, you accept these terms. If you are creating an account on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” in these terms means that organisation.
1. The Service
SyncLocale is a localization platform: you extract translatable strings from your own application with our CLI, push them to your project, optionally generate AI-assisted translations, review and publish them, and your running application fetches the published dictionaries. Plans are priced per live translation key, not per word times language. Plans, limits, and pricing are described at synclocale.com/pricing and may change on reasonable notice as described in section 6.
2. Accounts, organisations and team members
- You must provide accurate information when creating an account, and keep your credentials and API keys confidential. You are responsible for all activity under your account, including activity performed with an API key you issued.
- An account may be shared by an organisation. The person who creates it is its first Owner. Owners and Admins may invite other people as team members and assign them a role (Owner, Admin, or Member), each with different permissions inside the Service.
- The Customer organisation is responsible for the conduct of every team member it adds, for ensuring it has the right to add them, and for removing access promptly when it is no longer appropriate (for example, when someone leaves the organisation).
- At least one Owner must exist on every account at all times; the Service will not let the last Owner be removed or demoted. Only an Owner may manage billing or delete the account.
- We log security-relevant account actions — invitations, role changes, removals, and deletion — in an audit trail visible to Owners and Admins.
3. Acceptable use
You agree not to use the Service to:
- Submit content you do not own or do not have the right to have translated and stored, including content belonging to a third party without their authorisation.
- Submit content for translation that is unlawful, infringing, or that you are not legally entitled to share with us or with our sub-processors (see section 7).
- Rely on an AI-generated translation, without human review, for a purpose where an inaccurate translation could cause legal, medical, financial, or safety consequences — see the disclaimer in section 8.
- Probe, scan, or attempt to bypass the security of the Service or the CLI, or resell or sublicense access to it without our written permission.
- Use an API key or the public CDN endpoints in a way designed to overwhelm or disrupt the Service for other customers.
- Violate any applicable law in your use of the Service.
We may suspend or terminate an account that breaches this section, with notice where practicable.
4. Subscriptions, billing and taxes
- Paid plans are billed in advance on a recurring basis through Stripe, metered by the number of live (non-archived) translation keys on your account, and renew automatically until cancelled.
- You can cancel at any time from the billing page; cancellation takes effect at the end of the current billing period, and you keep access until then. We do not provide partial-period refunds except where required by law.
- Fees are exclusive of taxes unless stated otherwise; you are responsible for any VAT or other tax applicable to your use of the Service, which Stripe may calculate and add to your invoice.
- If a payment fails and is not resolved, we may suspend write access to the dashboard and CLI, or downgrade the account; published dictionaries already live keep being served to your application regardless of payment status, so your users are not affected by a billing dispute.
- Invoices for amounts paid are issued through our internal invoicing system and are retained independently of your SyncLocale account for as long as our accounting and tax obligations require.
5. AI-generated translations
When you trigger AI translation, the relevant source text and any context notes you wrote are sent to a third-party language model through OpenRouter to generate a suggested translation — see section 7 and our Privacy Policy for how that works and what it means for international transfer of your content. A translation produced this way is marked unreviewed until a member of your team marks it reviewed. We do not warrant the accuracy, completeness, or fitness for any purpose of a machine-generated translation; you are responsible for reviewing it before relying on it, particularly for legal, medical, financial, or safety-critical content.
6. Changes to the Service and these terms
We may update these terms or the Service from time to time. For a material change, we will notify account Owners by email at least 14 days before it takes effect, except where a change is required sooner for legal or security reasons. Continuing to use the Service after a change takes effect is acceptance of it; if you do not agree, you may cancel and delete your account before it takes effect.
7. Data processing terms
Where the Service processes content you submit for translation, you are the data controller and Altix is the data processor, acting only on your documented instructions (which are to operate the Service as described in our documentation). The following applies to that processing, and together with our Privacy Policy forms our data processing terms:
- We process your submitted content only to store it, translate it where you request AI translation, and compile and serve your published dictionaries, and for no other purpose.
- We implement the technical measures described in our Privacy Policy (hashed credentials, encrypted transport, scoped API keys) and organisational measures to protect it, and will notify you without undue delay if we become aware of a breach affecting it.
- Our sub-processor for AI translation is OpenRouter, a United States-based routing service, which in turn routes your request to the underlying model provider for the model configured on this deployment. Using this feature transfers your submitted content outside the European Economic Area, as described in our Privacy Policy. If you do not want that, do not use AI translation — manual entry never leaves our infrastructure or Stripe, Resend, Cloudflare, and Hetzner as described there.
- On deletion of your account, your content is deleted as described in our Privacy Policy and in section 9 below.
- You remain responsible for ensuring you have the right to submit the content you send us for storage and translation, including any personal data it may incidentally contain.
8. Disclaimer of warranties
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free, or that any AI-generated translation will be accurate, complete, or fit for your intended use. Translations you have not marked reviewed should be treated as drafts.
9. Termination and deletion
- You may delete your account at any time from Settings. This immediately cancels any subscription, permanently deletes every project, translation key, translation and published dictionary, revokes every API key, and removes every team member’s access. It cannot be undone.
- We may suspend or terminate your account for breach of section 3, for non-payment that remains unresolved after reasonable notice, or if required to do so by law.
- Sections that by their nature should survive termination do — including sections 7 (to the extent data still exists), 8, 10, 11, and 14.
10. Limitation of liability
To the maximum extent permitted by law, Altix’s total liability arising out of or relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose, and Altix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill — including any loss arising from reliance on an unreviewed, AI-generated translation. Nothing in these terms limits liability that cannot be limited under applicable law, including liability for death, personal injury, or fraud.
11. Indemnification
You agree to indemnify and hold Altix harmless from any claim arising from your breach of section 3 (acceptable use) or from content you submitted for translation that you did not have the right to submit.
12. Intellectual property
You retain all rights to the source text, context notes, and translations you submit to or store in the Service. You grant Altix a limited licence to host, process, and transmit that content solely to provide the Service to you, including sending it to OpenRouter and its underlying model provider when you request AI translation. Altix owns all rights in the Service itself, excluding your own content. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, for your own internal business purposes.
13. Governing law and disputes
These terms are governed by the laws of the Republic of Cyprus, without regard to its conflict-of-laws rules. The courts of Cyprus have exclusive jurisdiction over any dispute arising from these terms or the Service, except where mandatory consumer protection law gives you the right to bring a claim in your own country of residence.
14. General
- If any provision of these terms is found unenforceable, the rest remain in effect.
- These terms, together with our Privacy Policy, are the entire agreement between you and Altix regarding the Service.
- You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- A failure to enforce any right under these terms is not a waiver of it.
